Frequently asked questions for IBCs and Regular

The Companies Section oversees the day to day procedures laid down by the
    • Companies Act 1992,
    • International Business Companies Act 2000 (IBC’s)
    • Exempted Limited Partnership Act for the incorporation and maintenance of companies.

The Section now has Foundations and Mutual Funds under its portfolio.

The main functions of this section are:
    • Reservations of company names
    • Collection of fees for incorporating companies
    • Processing of new companies
    • Preparation of certificates of incorporation
    • Name changes, dissolutions, and the restoration of company to the register
    • Certificates of good standing
    • Storing and updating files
    • Serving the varying needs of clients.

The computerization via the Agent Internet Module (AIM) was launched in June 2004. Some features of the system:
    • Name reservation
    • Index of: company name, company number, the name of agent, date of incorporation, the status (active/defunct), and type of company.
    • Name search
    • File online
        • Memorandum and Articles (M&A’s)
        • IBC certificate of compliance for both agent and attorney
        • Directors and officers listing
        • Resolution for change in capital
        • Regular company annual declaration and return
        • Change of company name
        • General resolution, resolution to amend
    • Good standing for both IBC and regular company.
